CONSTITUTION
Name
The Name of the Association is the St Helier Town Residents’ Rejuvenation Association but shall be known in Jersey as the Town Residents’ Rejuvenation Association (“TRRA”)
Purpose
The purpose of the Association shall be to promote a better quality of life for the residents of St Helier town centre and the surrounding areas and the preservation, improvement, protection and advancement of the community and amenities of St Helier town centre. The Association shall be nonpolitical. The Association is a non-profit making organisation.
Membership
Full Membership of the Association shall be available to anyone aged sixteen years or over and resident in St Helier. Associate Membership is available to residents of Jersey living outside of St Helier although no voting rights shall be attached.
All Full Members shall have an equal vote. All Members should actively seek to represent the various needs of the area, and must not discriminate on the grounds of nationality, political opinion, race, religious opinion, sex, sexuality or disability. All Members shall at all times conduct themselves in a reasonable manner when attending meetings or any other function in connection with the Association.
The Association and Officers
The Association shall consist of not less than five members which must at all times include a Chairperson, Secretary and where necessary a treasurer and such other posts as may be decided by the members. The Chairperson or his/her appointed deputy shall preside at all meetings of the Association and shall have a casting vote in the case of an equality of votes. The Secretary or his/her deputy shall keep minutes of all meetings of the Association. The Treasurer or his/her deputy shall keep accounts of the funds of the Association and be responsible for the safe-keeping of all assets of the Association.
The Committee
A Committee shall be elected to carry out the business of the Association and shall consist of the Chairperson, Secretary, and three Full Members, or in the case where there is an elected treasurer, two Full Members. The Committee shall be elected at the Annual General Meeting and Officers of the Committee shall carry out the duties given to them by General Meetings. The Committee may appoint a member to fill any vacancy caused by the subsequent resignation of any person appointed by the Annual General Meeting. All members of the Committee shall retire at the conclusion of the Annual General Meeting following the Annual General Meeting at which they were appointed but they shall be eligible to offer themselves for re-appointment at such meeting. The Committee shall meet together for the dispatch of business and regulate their meetings as they think fit however no committee meeting shall take place if less than two thirds of the committee are present. Questions arising at any Committee meeting shall be decided by a majority of votes of those present. Minutes of committee meetings shall be available to all Members.
Annual General Meetings (AGM)
Annual General Meetings shall be held annually at a time and place determined by the Committee who shall give seven days notice of such meeting. The business to be transacted shall include the Chairman’s annual report, the treasurer’s report, election of officers, questions, any other business.
Other Meetings
The Chairperson and Secretary may call a meeting of members by giving at least seven days notice. A majority or more members of the Association may request, in writing to the Secretary, a Special Meeting to be held within twenty-one days of such request being lodged with the Secretary. Any request for a Special Meeting shall specify the business to be transacted at the Meeting and no other business shall be allowed.
Quorum
No General Meeting or Annual General Meeting shall take place if less than 15% of members are present.
Voting
A) Any Member may make a proposal. In order for it to be voted on it must be seconded, or supported, by a Full Member.
B) Only Full Members present at the meeting may vote.
C) Before voting any Member may propose an amendment, which must also be seconded by a Full Member.
D) No Full Member shall exercise more than one vote.
E) In the event of an equal vote, the Chair shall have the casting vote.
Changes to the constitution
The constitution can only be altered at an AGM or at a special general meeting called for that purpose and changes to the constitution must be agreed by two thirds of the members present at the meeting.
Dissolution
If a majority of the Full Members present at a meeting of the Association decide that the Association shall be dissolved, then they may resolve that the Association shall cease its activities and discharge its liabilities so far as there are any assets available for this purpose. If there remains any property or funds in the Association’s hands, the same shall be transferred to such charitable organisation/s as the Full Members shall nominate on their resolution to wind up the affairs of the Association.
